1. Parties & acceptance

These Terms of Service (the “Terms”) form a binding agreement between you (either an individual or the legal entity you represent, together “Customer”) and Adam Volchko, a sole proprietor doing business as Call Flow Studio, with a place of business at 10 Kings Lane, Cape May Court House, NJ 08210, United States (“Call Flow Studio,” “we,” or “us”).

By purchasing, downloading, installing, or using Call Flow Studio, you accept these Terms. If you do not accept them, do not purchase or use the Software.

If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization, and “Customer” refers to that organization.

2. Definitions

“Software” means the Call Flow Studio dial-plan visualizer and editor, including the server-side PHP application, the React-based user interface, supporting scripts, and any updates we provide.

“PBX” means a single, distinct telephony server instance running FreePBX, VitalPBX, or another platform we support, identified by its hostname and underlying configuration.

“License” means the right to install and use the Software on one PBX, granted under section 3.

“Maintenance Period” means the twelve (12) months following the date of purchase of a License, during which the Customer is entitled to receive updates and new versions of the Software at no additional cost.

“Maintenance Renewal” means an optional yearly subscription, purchased after the initial Maintenance Period, that extends the Customer’s right to receive updates and new versions for an additional twelve (12) months.

3. License grant

Subject to your payment of the applicable fees and your compliance with these Terms, we grant you a perpetual, non-exclusive, non-transferable, non-sublicensable license to install and use the Software on the number of PBXs equal to the number of Licenses you have purchased.

One License entitles you to use the Software on one PBX. You may not share a single License across multiple PBXs. If you operate the Software on additional PBXs, you must purchase an additional License for each.

The License remains in effect indefinitely with respect to the version of the Software that was current at the end of your then-active Maintenance Period, unless terminated under section 14.

4. Restrictions

You agree not to:

  • Resell, redistribute, sublicense, rent, lease, or lend the Software or any License key.
  • Use the Software to provide a hosted, multi-tenant, or service-bureau offering to third parties without a separate written agreement with us.
  • Reverse engineer, decompile, or disassemble the Software, except to the extent that applicable law expressly permits such activity despite this limitation.
  • Remove, obscure, or alter any copyright, trademark, or other proprietary notices contained in the Software.
  • Use the Software to violate any law, regulation, or third-party right, or to process traffic you are not authorized to manage.

5. Updates & maintenance

Each License includes a Maintenance Period of twelve (12) months from the date of purchase. During the Maintenance Period you are entitled, at no additional cost, to all updates, bug fixes, and new versions of the Software that we make generally available.

After the Maintenance Period ends, you may continue to use, indefinitely, the version of the Software that was current at the end of your Maintenance Period. To receive newer versions, you may purchase a Maintenance Renewal at the then-current renewal price, which is offered at a discount to the price of a new License.

If your Maintenance Renewal lapses, you may resume receiving updates by purchasing a new Maintenance Renewal at the then-current price. We do not charge back-fees for skipped years.

We do not commit to a specific release schedule and may discontinue, modify, or rename features. Our intent is to keep updates backward-compatible during a major version line, but we cannot guarantee compatibility with future releases of FreePBX, VitalPBX, or other third-party platforms.

6. Support

During the Maintenance Period (and during any active Maintenance Renewal), we provide email support at support@callflowstudio.io on a best-effort basis. We aim to respond to support requests within two (2) business days.

Support covers installation help, defect reports, and questions about the Software’s intended functionality. It does not cover general PBX administration, dial-plan design, custom development, or third-party integration work.

7. Payment, taxes & Paddle

Purchases are processed by Paddle.com Market Limited and its affiliates (“Paddle”), which acts as the merchant of record and reseller for the Software. Paddle handles payment processing, tax calculation, invoicing, and tax collection on our behalf.

By completing a purchase, you also accept Paddle’s buyer terms, which are presented at checkout. Paddle’s terms govern the transaction itself; these Terms govern the License you receive and your use of the Software.

All prices are quoted in U.S. dollars unless stated otherwise at checkout. Sales tax, VAT, GST, or equivalent indirect taxes will be added by Paddle where required by law. Payment is due in full at the time of purchase.

8. Refunds

We offer a 30-day money-back guarantee on initial License purchases and on Maintenance Renewals. The full Refund Policy, including how to request a refund and what is and isn’t eligible, is available at /refunds. The Refund Policy is incorporated into these Terms by reference.

9. Customer data & privacy

The Software runs on your PBX, on infrastructure you control. Your dial-plan content, extension numbers, queue configurations, IVR menus, call recordings, CDR data, and any other information stored on your PBX remains on your PBX. We do not have access to it and we do not transmit it to our servers.

To verify your License and check for updates, the Software may transmit basic information to us, including your PBX platform name, platform version, and License key. Information we collect through the marketing site, support emails, and Paddle checkout is described in our Privacy Policy, which is incorporated into these Terms by reference.

10. Intellectual property & trademarks

The Software, its source code, design, documentation, and all related intellectual property are owned by Adam Volchko and protected by United States and international copyright and other intellectual property laws. We reserve all rights not expressly granted in these Terms.

“Call Flow Studio” and the Call Flow Studio logo are trademarks of Adam Volchko. You may refer to the product by name in good-faith descriptive contexts, but you may not use our marks in a way that suggests endorsement, sponsorship, or affiliation without our prior written consent.

Call Flow Studio is an independent product. It is not affiliated with, endorsed by, or sponsored by Sangoma Technologies, the FreePBX project, the Asterisk project, or VitalPBX. References to those names are nominative only.

11. Warranty disclaimer

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT IT WILL OPERATE WITH ANY SPECIFIC HARDWARE, OPERATING SYSTEM, OR PBX VERSION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, IN WHICH CASE THIS DISCLAIMER APPLIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CALL FLOW STUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US (OR TO PADDLE ON OUR BEHALF) FOR THE LICENSE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, IN WHICH CASE THESE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Indemnification

You will defend, indemnify, and hold harmless Call Flow Studio from and against any third-party claim, demand, or proceeding arising out of: (a) your use of the Software in violation of these Terms or applicable law; (b) your dial-plan configuration, call traffic, or telephony operations; or (c) your violation of any third-party right.

14. Termination

You may terminate these Terms at any time by uninstalling the Software and discontinuing its use.

We may terminate these Terms and your License immediately if you materially breach them, including by violating section 4 (Restrictions). Upon termination for breach, you must promptly uninstall the Software and stop all use.

Sections that by their nature should survive termination (including sections 10–13 and 15) will survive.

15. Governing law & disputes

These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

The exclusive venue for any dispute arising out of or related to these Terms is the state and federal courts located in Cape May County, New Jersey, and you consent to the personal jurisdiction of those courts. To the extent permitted by law, the parties waive any right to a jury trial.

16. Changes to these terms

We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Material changes will be communicated via email to active customers, or by a notice on this page, at least 30 days before they take effect, except where a faster change is required by law. Your continued use of the Software after the effective date of an update constitutes acceptance of the revised Terms.
